Business Associate Agreement

This Business Associate Agreement ("BAA") is between the dental practice creating a Dentanomics account ("Covered Entity") and CMRK Enterprises, LLC, operator of Dentanomics ("Business Associate"). It is accepted electronically when the practice checks the agreement box during sign-up.

1. Permitted uses

Business Associate uses and discloses protected health information (PHI) only to provide the Dentanomics service to the practice, or as required by law.

2. Safeguards

• PHI is encrypted in transit and at rest.
• Each practice's data is kept separate and is accessible only to that practice's authorized users.
• Business Associate maintains administrative, physical and technical safeguards consistent with the HIPAA Security Rule.

3. Subcontractors

Business Associate ensures that any subcontractor that handles PHI agrees to the same restrictions and conditions.

4. Breach reporting

Business Associate will report any breach of unsecured PHI to the practice without unreasonable delay and no later than 60 days after discovery.

5. Individual rights

Business Associate will help the practice respond to patient requests for access, amendment or an accounting of disclosures.

6. Termination

On termination, Business Associate will return or destroy PHI within 30 days, keeping only what the law requires, and will keep protecting anything retained.
